Tenneco Clean Air India Set To Launch Rs 3,600 Cr IPO

Tenneco Clean Air India, a manufacturer of automotive parts, is set to initiate its initial public offering (IPO) on 12 November 2025. As per the Red Herring Prospectus filed with the Registrar of Companies, the Gurugram-headquartered company has increased the size of its offer-for-sale (OFS) to Rs 3,600 crore from the originally planned Rs 3,000 crore.

This IPO consists solely of an OFS by the promoter, Tenneco Mauritius Holdings, meaning Tenneco Clean Air will not receive any fresh capital from the issue. The anchor book will open on 11 November, while the public offer will be open for subscription from 12 to 14 November. The share allotment is expected to be finalised on 17 November, with trading on the BSE and NSE commencing on 19 November.

Half of the offer size is allocated to qualified institutional buyers, 15 per cent to non-institutional investors, and the remaining 35 per cent to retail investors. Tenneco Clean Air is one of the largest suppliers of clean air solutions to commercial truck original equipment manufacturers (OEMs) and offers powertrain and suspension solutions and aftermarket parts through its group company, Motocare India.

Tenneco Clean Air has 12 manufacturing facilities and served 119 customers in fiscal 2025, including India's leading automakers Ashok Leyland, Bajaj Auto, Daimler India, Honda Motorcycle and Scooter India, Hyundai Motor India, Mahindra & Mahindra, Maruti Suzuki India, Royal Enfield, Tata Motors, and Toyota Kirloskar Motor.
